Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the “Agreement”) is entered into on the date the form is submitted by Twelfth Dream Ltd. (having its address at 720-999 W Broadway, Vancouver, BC V5Z 1K5) and the individual submitting the form (each referred to as a “party” and collectively as the “parties”).

Purpose

This Agreement allows the parties to share confidential information to:

  • Explore potential business relationships.
  • Evaluate plans, ideas, and concepts for collaboration.
  • Negotiate terms and agreements for a mutually beneficial relationship.

Definition of Confidential Information

Confidential information includes, but is not limited to:

  • Business strategies, financial data, and operations.
  • Customer lists, trade secrets, and intellectual property.
  • Any disclosed information reasonably considered confidential.

Use of Confidential Information

The recipient agrees to:

  • Use the information solely for the agreed purpose.
  • Safeguard the information with the same care as their own confidential data.
  • Not disclose information to third parties without prior written consent.

Return or Destruction of Information

Upon termination or request, the recipient will:

  • Return all confidential materials in tangible form.
  • Destroy any notes or documents and certify their destruction.

Exceptions

The recipient’s obligations do not apply to information that:

  • Was already known or publicly available before disclosure.
  • Becomes public through no fault of the recipient.
  • Is lawfully obtained from a third party or required by law.

Non-Solicitation

The recipient agrees not to:

  • Solicit the owner’s employees or customers.
  • Use confidential information to gain competitive advantage.

Term

This Agreement remains valid until:

  • Two years after submission of the form.
  • The business relationship is formally concluded.

General Terms

This Agreement:

  • Is governed by the laws of British Columbia, Canada.
  • Binds successors and assigns of both parties.
  • Supersedes any prior confidentiality agreements between the parties.
